Artist Agreement

1. Introduction

This Artist Agreement ("Agreement") is between you ("Artist," "you," or "your") and Paula's ("we," "us," or "our"), the operator of LIMITED (the "Platform").

By uploading content to the Platform or agreeing to release music through LIMITED, you agree to the terms of this Agreement.

2. Rights & Ownership

2.1 Your Representations

By uploading content, you represent and warrant that:

• You own or control all rights to the music and associated content
• You have obtained all necessary clearances, licenses, and permissions
• The content does not infringe any third-party rights
• You have the authority to grant the rights described in this Agreement
• Any samples, covers, or derivative works are properly licensed

2.2 Ownership Retention

You retain full ownership of your music and underlying intellectual property. This Agreement does not transfer copyright or ownership to us.

2.3 License Grant

You grant us a non-exclusive, worldwide, royalty-bearing license to:

• Host, stream, and distribute your music through the Platform
• Create previews and samples for promotional purposes
• Use your name, likeness, and artwork in connection with the Platform
• Sublicense to users who purchase your releases (streaming rights only)

3. Revenue & Payments

3.1 Primary Sales Revenue Split

For each initial sale of your release, you receive 70% of the sale price (after payment processing fees).

3.2 Secondary Sales Royalty

When a user resells your release on our marketplace, you receive a 10% royalty on the resale price. This applies to all future resales in perpetuity.

3.3 Streaming Revenue

For streaming revenue generated by LIMITED subscribers, you receive 70% of the allocated streaming revenue based on your tracks' play share.

3.4 Payment Terms

• Payments are processed monthly for balances over $50 USD
• You must provide valid payment information (bank account or PayPal)
• Payment processing fees may apply
• Earnings under $50 roll over to the next month

3.5 Reporting

You will have access to a dashboard showing sales, streams, and earnings data for your releases.

4. Content Guidelines

Your content must not:

• Infringe on any copyright, trademark, or other intellectual property rights
• Contain unlicensed samples or unauthorized covers
• Promote violence, hate speech, or discrimination
• Contain explicit content without proper labeling
• Violate any applicable laws or regulations
• Contain malware or harmful code

Content Quality

• Audio must be high quality (minimum 320kbps MP3 or lossless)
• Artwork must be high resolution (minimum 1400x1400 pixels)
• Metadata must be accurate and complete

5. Platform Rights

5.1 Content Removal

We reserve the right to remove content that violates this Agreement, our Terms of Service, or applicable law. We will notify you of any removal and the reason.

5.2 Platform Discretion

We reserve the right to:

• Determine pricing and supply limits for releases
• Feature or promote releases at our discretion
• Modify Platform features and functionality
• Reject content that doesn't meet our quality standards

5.3 Exclusivity

This Agreement is non-exclusive. You are free to distribute your music on other platforms. However, LIMITED editions may be unique releases not available elsewhere, at your discretion.

6. Tax Responsibility

You are solely responsible for:

• Reporting and paying all applicable taxes on your earnings
• Providing accurate tax information (W-9 for US artists, W-8BEN for non-US)
• Complying with tax laws in your jurisdiction

We may be required to withhold taxes in certain jurisdictions. We will provide necessary tax documentation (1099, etc.) as required by law.

7. Termination

7.1 By Artist

You may terminate this Agreement at any time by notifying us in writing. Existing sold copies will remain accessible to purchasers. You will continue to receive royalties on secondary sales.

7.2 By Platform

We may terminate this Agreement if you breach any terms. We will provide 30 days notice except in cases of severe violations.

7.3 Effect of Termination

Upon termination:

• Your releases will be removed from sale
• Existing owners retain their licenses to stream
• You receive final payment for outstanding earnings
• Secondary sale royalties continue for existing copies

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM THIS AGREEMENT OR YOUR USE OF THE PLATFORM.

You agree to indemnify and hold us harmless from any claims arising from your content, including copyright infringement claims.
