1. Acceptance of Terms

By accessing or using LIMITED ("the Platform"), operated by Paula's ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

We reserve the right to modify these Terms at any time. Your continued use of the Platform after any changes constitutes acceptance of the modified Terms.

2. Platform Description

LIMITED is a digital music ownership platform where users can purchase, collect, and trade limited-edition digital music releases ("Tapes"). Each release has a fixed supply, and once all copies are sold, they can only be obtained through our marketplace trading system. LIMITED also offers a subscription service that provides streaming access and monthly credits for purchasing Tapes.

3. Eligibility

You must be at least 18 years old to use the Platform. By creating an account, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into these Terms
• You are not prohibited from using the Platform under any applicable law
• All information you provide is accurate and complete

4. User Accounts

To purchase or trade Tapes, you must create an account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use

We reserve the right to suspend or terminate accounts that violate these Terms or engage in suspicious activity.

5. Purchases & Payments

5.1 Pricing

All prices are displayed in US Dollars (USD). Tapes are purchased using Credits, which can be obtained through subscription or direct purchase. Credit costs vary: Founder-tier copies (first 900) cost 2 Credits, while all other copies cost 1 Credit.

5.2 Payment Processing

Payments are processed securely through Stripe. We do not store your full payment card details on our servers.

5.3 Final Sale

All purchases are final. Due to the digital and limited nature of our products, we do not offer refunds except as required by law or in cases of technical failure. See our Refund Policy for details.

5.4 Limited Supply

Each Tape has a fixed, limited supply. Once all copies are sold, they cannot be purchased directly from us. Availability is not guaranteed until payment is successfully processed.

6. Ownership Rights

When you purchase a Tape, you receive:

• A personal, non-transferable license to stream and listen to the music
• The right to trade or resell your copy through our Platform
• A unique copy number identifying your specific copy

You do NOT receive:

• Copyright ownership of the music
• Rights to distribute, reproduce, or publicly perform the music
• Rights to use the music commercially
• Downloadable audio files

The underlying music remains the intellectual property of the respective artists and rights holders.

7. Trading Rules

Our marketplace supports two types of trades:

7.1 Swap Trading

Users may trade their Tapes 1:1 with other users. No money changes hands in swap trades.

7.2 Resale

Users may resell their Tapes at the original purchase price only. Price speculation and markup are not permitted on our Platform. This policy ensures fair access for all collectors.

7.3 Trade Completion

All trades are final once confirmed. We are not responsible for trades you regret or believe were unfair.

8. Prohibited Conduct

You agree not to:

• Create multiple accounts to circumvent limits or bans
• Use bots, scripts, or automated tools to purchase Tapes
• Attempt to manipulate the marketplace or trading system
• Share account access with others
• Circumvent any security or access controls
• Upload, post, or transmit any harmful content
• Harass, threaten, or abuse other users
• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Attempt to extract or download audio files

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAULA'S AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied.

10. Dispute Resolution

Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, United States.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Platform after such changes constitutes acceptance of the modified Terms.
